MARS Energy Group has acquired Northern California residential roofing and solar contractor Citadel Roofing & Solar. The deal, announced on August 28, 2026, marks the diversified energy company's 11th acquisition, though the transaction value was not disclosed.
Founded in 2015, Citadel Roofing & Solar serves homebuilders and homeowners in Northern California. Its services include new construction roofing and solar, reroofing, and retrofit solar installations.
Acquisition Strategy and Vision
MARS is a holding company that owns and scales energy infrastructure businesses across the United States. It provides solar, energy storage, roofing, and electrification services for residential and commercial customers and developers. The company stated that Citadel's operations will complement its existing commercial and residential energy businesses.
The acquisition is intended to broaden MARS's services for California homebuilders and support further investments in technology and operations. According to a press release, customers will continue working with Citadel's existing teams following the acquisition.
Manvendra Saxena, Founder, Chairman & CEO of MARS Energy Group, commented on the deal. "Citadel is the latter," he said, referring to partnerships that feel destined. "Dieter and the entire Citadel team have built an exceptional business known for operational excellence, strong customer relationships, and an outstanding culture."
Saxena emphasized that the partnership is about investing in Citadel's success, not changing it. "Together, we will keep building on this platform, preserving the key people, culture, and customer focus that have defined both organizations," he stated.
MARS's Recent California Expansion
This purchase continues MARS's aggressive expansion in California's residential energy market. In May 2026, the company acquired two other California-based firms: Solar Savings Direct, which operates as Solar and Roof Direct, and Sequoia Roofing & Construction.
MARS said these acquisitions support its focus on execution, safety, and long-term value creation in California's residential energy and housing markets. The company's growing portfolio reflects broader stats on sector consolidation.
Sector M&A Activity
The deal occurs amid rising corporate merger and acquisition activity in the solar sector. According to Mercom's 1H and Q2 2026 Solar Funding and M&A Report, corporate M&A activity increased to 57 transactions in the first half of 2026. This compares to 50 transactions in the first half of 2025.
